ZHMS TERMS AND CONDITIONS
Last Updated: June 28, 2026
Welcome to the Zignals Hub Management System (ZHMS).
These Terms and Conditions govern your registration, access to, and use of ZHMS and the services made available through an authorized Zignals Hub, including Zignals CDO Hub.
By creating an account, selecting “I agree to the Terms and Conditions,” or continuing to use ZHMS, you acknowledge that you have read, understood, and agreed to these Terms.
1. Purpose of ZHMS
ZHMS is an operational management and member-support platform used by authorized Zignals Hubs to manage member records, assistance requests, transaction-related support, communications, events, administrative processing, and other Hub services.
ZHMS is not an investment platform, trading platform, cryptocurrency exchange, bank, electronic money issuer, or financial advisory service.
Investment accounts, investment activities, withdrawals, and other financial transactions performed through external platforms such as Zignals.net remain subject to the applicable terms, procedures, policies, and requirements of those external platforms.
2. Eligibility and Account Registration
Users must provide accurate, complete, and current information when creating or maintaining a ZHMS account.
An account must be used only by the person to whom it was issued unless authorized otherwise by the Hub.
Users must not create accounts using false identities, impersonate another person, deliberately provide misleading information, or attempt to circumvent registration controls.
ZHMS may require email verification or other reasonable identity-verification procedures before certain services become available.
3. Member Identity and Permanent Records
Each registered member may be assigned a permanent ZHMS Member ID for identification and record-management purposes.
Certain verified information may become read-only after confirmation, including the ZHMS Member ID and verified referral or sponsor information.
Where a correction to protected information is necessary, the member may be required to request assistance from an authorized Administrator or Developer so the change can be reviewed and properly recorded.
4. Account Security
Users are responsible for protecting their passwords, authentication credentials, and access to their registered email account.
Users must not knowingly share their ZHMS login credentials with another person.
Users should immediately notify the Hub if they believe their account has been compromised or accessed without authorization.
ZHMS may provide security measures including session monitoring, logout from other devices, account restrictions, password recovery, and other protective controls.
Authorized Hub personnel will never require a member to provide their account password in readable form.
5. Deposit Assistance
ZHMS may allow members to submit Deposit Assistance requests and supporting payment information.
Submitting a Deposit Assistance request does not automatically mean that funds have been verified, received, approved, or credited to the member's Zignals.net account.
Submitted payments and supporting records remain subject to verification and processing by authorized personnel.
Members are responsible for ensuring that amounts, payment channels, transaction references, wallet information, receipts, screenshots, and other information they submit are accurate.
Account funding will proceed only after applicable verification and operational requirements have been completed.
6. Cryptocurrency Payments
When cryptocurrency payment options are available, members are responsible for confirming the correct cryptocurrency or token, blockchain network, wallet address, destination information, transaction amount, and other payment instructions displayed by ZHMS or provided through an authorized Hub channel.
Blockchain transactions may be irreversible.
ZHMS and the operating Hub may be unable to recover cryptocurrency sent to an incorrect wallet address, unsupported blockchain network, wrong cryptocurrency, or unauthorized destination.
A blockchain transaction showing as successful or confirmed does not automatically mean that the corresponding Zignals.net account has been funded. Hub-side verification and processing may still be required.
7. Withdrawal Assistance
Members normally initiate withdrawal requests through the applicable external platform, such as Zignals.net, rather than directly through ZHMS.
Authorized Hub personnel may subsequently use ZHMS to encode, review, process, monitor, and document those withdrawal requests for internal Hub operations.
The presence of a withdrawal record in ZHMS does not guarantee approval, payment, availability of funds, or a specific processing time.
8. Service Center and Support
ZHMS may provide a Service Center or similar support facility through which members can submit questions, concerns, requests, attachments, and supporting information.
Members are expected to communicate respectfully and provide information that is relevant to the assistance being requested.
Submission of a support request does not guarantee a particular outcome or response time.
Processing time may depend on verification requirements, request complexity, staff availability, system availability, and third-party services.
9. Member Content and Conduct
Members are responsible for all information, messages, images, attachments, documents, profile pictures, receipts, and other content they submit through ZHMS.
Members must not upload, transmit, display, or submit content that is fraudulent, unlawful, threatening, harassing, defamatory, discriminatory, sexually explicit, obscene, profane, malicious, intentionally offensive, or otherwise inappropriate for legitimate Hub operations.
This restriction applies to, among other things, profile photographs or avatars; Service Center messages; support ticket subjects and descriptions; uploaded documents and images; event-related submissions; transaction attachments; comments, replies, or communications directed toward Hub personnel; and any future messaging or communication feature provided through ZHMS.
Reasonable disagreement, complaints, criticism, or expressions of dissatisfaction are not prohibited merely because they are negative. However, abusive behavior, threats, harassment, deliberate profanity directed at personnel, obscene materials, sexually explicit content, or repeated disruptive conduct may result in enforcement action.
10. Content Moderation and Account Restrictions
ZHMS and authorized Hub personnel reserve the right to remove, hide, reject, or restrict content that violates these Terms or interferes with legitimate Hub operations.
Depending on the nature and seriousness of the violation, ZHMS may remove inappropriate content, issue a warning, restrict access to particular features, temporarily suspend the account, block further Service Center submissions, require additional verification, temporarily lock the account for security purposes, or suspend or terminate access to ZHMS.
Serious conduct—including credible threats, fraud, deliberate security attacks, malicious uploads, impersonation, repeated harassment, or intentionally obscene or abusive content—may result in immediate restriction or suspension without a prior warning where reasonably necessary to protect users, personnel, records, or the system.
Where practical and appropriate, the member may be informed of the reason for an account restriction.
Suspension or termination of a ZHMS account does not automatically terminate an account maintained separately with Zignals.net or another external platform.
11. Prohibited System Use
Users must not attempt to gain unauthorized access to another person's account or information; circumvent role-based permissions or security controls; probe, scan, or test ZHMS for vulnerabilities without authorization; introduce viruses, malicious code, scripts, or harmful files; automate excessive requests intended to disrupt or overload the service; scrape or systematically extract information without authorization; manipulate transaction, audit, identity, or administrative records; interfere with system availability or operation; use ZHMS to commit fraud or other unlawful acts; or encourage or assist another person in doing any of the above.
12. Supporting Documents and Information
Users must not knowingly submit fabricated, manipulated, altered, fraudulent, misleading, or unauthorized receipts, screenshots, identity information, transaction records, or supporting documents.
Authorized personnel may review submitted material when reasonably necessary for verification, processing, security, fraud prevention, support, or audit purposes.
The Hub may request additional information when submitted documentation is incomplete, inconsistent, unreadable, or reasonably requires verification.
13. Automated Document and OCR Features
ZHMS may provide Optical Character Recognition (OCR), automated document-reading, or similar tools to assist users in extracting information from receipts and supporting documents.
These tools are provided as a convenience and may occasionally produce inaccurate or incomplete results.
Members remain responsible for reviewing and confirming information before submission.
Failure of an automated extraction feature should not prevent a member from manually submitting otherwise valid required information where manual submission is available.
14. Notifications and Electronic Communications
By maintaining an active ZHMS account, users acknowledge that ZHMS may provide operational communications relating to account verification, security, transaction assistance, Service Center requests, system maintenance, events, administrative notices, and other services associated with the member's ZHMS account.
Communications may be provided through ZHMS, registered email addresses, notifications, or other authorized Hub channels.
Certain essential security and operational communications cannot necessarily be disabled while an account remains active.
15. Privacy and Personal Information
Personal information processed through ZHMS is handled in accordance with the applicable ZHMS Privacy Policy and relevant Philippine data-protection requirements.
The Privacy Policy explains, among other matters, the categories of information processed, purposes of processing, permitted access, security safeguards, retention practices, and privacy rights.
Users should review the Privacy Policy before creating a ZHMS account.
16. Third-Party Services
ZHMS may interact with or rely upon third-party systems and services, including Zignals.net, hosting services, databases, authentication providers, storage providers, email services, payment providers, banks, and cryptocurrency networks.
Third-party systems operate independently and may be governed by their own terms, privacy policies, technical requirements, processing schedules, and service availability.
ZHMS does not control independent third-party systems and cannot guarantee their continuous availability or performance.
17. External Links
ZHMS may contain links to external websites or services.
Providing a link does not necessarily constitute an endorsement of all information, products, services, representations, or policies available through the linked site.
Users should review the applicable terms and privacy policies of external services before providing information to them.
18. Intellectual Property
Unless otherwise indicated, the ZHMS software, interface, design, branding, documentation, workflows, graphics, system components, and original content are owned by or licensed to their respective authorized owners.
Users are granted only the limited right to access and use ZHMS for its intended purposes.
Users must not copy, reproduce, sell, redistribute, reverse engineer, modify, commercially exploit, or falsely represent ZHMS intellectual property except where authorized or permitted by law.
Third-party names, trademarks, and logos remain the property of their respective owners.
19. User-Submitted Content
Users retain any ownership rights they may have in original content they submit to ZHMS.
By submitting content necessary for a ZHMS service, the user authorizes ZHMS and authorized Hub personnel to store, display, review, reproduce, transmit, or otherwise process that content to the extent reasonably necessary to provide the requested service, maintain records, investigate issues, comply with applicable requirements, and operate the system.
This authorization does not permit unrelated commercial use of a member's personal content.
20. System Availability and Maintenance
ZHMS may occasionally be unavailable because of scheduled maintenance, emergency maintenance, upgrades, technical failures, security measures, internet interruptions, third-party outages, or circumstances outside reasonable operational control.
Individual features may also be temporarily placed into maintenance mode while the remainder of ZHMS remains available.
Reasonable efforts may be made to restore normal service, but uninterrupted or error-free availability cannot be guaranteed.
21. Changes to Features and Services
ZHMS may add, modify, improve, replace, restrict, or discontinue features as operational requirements change.
Where a material change significantly affects members, reasonable notice may be provided where appropriate.
Minor interface changes, security improvements, bug fixes, or operational refinements may be implemented without individual notice.
22. No Financial or Investment Advice
ZHMS provides administrative and member-support services.
Nothing displayed, communicated, or processed through ZHMS constitutes financial, investment, trading, tax, accounting, or legal advice.
Members remain responsible for evaluating their own financial decisions and for reviewing the applicable conditions of any investment, financial, or third-party platform they choose to use.
23. No Guarantee of Financial Results
ZHMS does not guarantee profits, investment returns, account performance, withdrawal outcomes, or financial results.
Operational assistance provided through the Hub should not be interpreted as a guarantee regarding the performance or obligations of an external financial or investment platform.
24. Limitation of Responsibility
To the extent permitted by applicable law, ZHMS and the operating Hub are not responsible for losses or delays resulting from circumstances reasonably outside their control, including incorrect information supplied by a user; incorrect bank, wallet, blockchain, or payment details; unauthorized disclosure of credentials by a user; third-party service failures; blockchain congestion; internet or telecommunications outages; payment-provider delays; external-platform maintenance or failures; or other events outside reasonable operational control.
Nothing in these Terms is intended to exclude responsibilities, rights, or remedies that cannot legally be excluded under applicable law.
25. Fraud, Security Investigations, and Preservation of Records
Where fraud, abuse, unauthorized access, manipulation, or another security incident is suspected, ZHMS may temporarily restrict access while the matter is investigated.
Relevant records may be preserved where reasonably necessary for investigation, audit, security, dispute resolution, or compliance with applicable legal obligations.
26. Account Suspension and Termination
ZHMS may suspend or terminate access where reasonably necessary because of a violation of these Terms; fraudulent or misleading activity; security risks; unauthorized account access; abusive or threatening behavior; misuse of the system; legal requirements; or actions that materially interfere with Hub operations.
Where a violation is minor and does not present an immediate risk, the Hub may elect to provide a warning or opportunity to correct the behavior before imposing stronger restrictions.
27. Consequences of Account Closure
Closing, suspending, or terminating a ZHMS account does not necessarily result in immediate deletion of records associated with that account.
Records may continue to be retained when reasonably necessary for completed transactions, withdrawal or deposit assistance, Service Center history, security investigations, legal requirements, fraud prevention, audit purposes, or legitimate operational records.
Retention and disposal of personal information are governed by the applicable ZHMS Privacy Policy.
28. Force Majeure
ZHMS and the operating Hub shall not be responsible for delays or failures caused by events reasonably beyond their control, including natural disasters, severe weather, war, civil disturbance, governmental action, widespread telecommunications failures, major power outages, cyber incidents affecting external infrastructure, or failures of critical third-party providers.
This provision does not remove obligations that cannot lawfully be excluded.
29. Changes to These Terms
These Terms may be revised to reflect changes to ZHMS services, new functionality, changes in Hub operations, security requirements, third-party dependencies, or applicable legal or regulatory requirements.
The current version and its effective or last-updated date should be made available through ZHMS.
Where a material change requires renewed acceptance, ZHMS may require users to review and electronically accept the updated Terms before continuing to use affected services.
30. Electronic Acceptance and Records
Selecting the required “I agree to the Terms and Conditions” checkbox during registration constitutes the user's affirmative electronic acceptance of these Terms.
ZHMS may maintain records of acceptance, including the account or Member ID, applicable Terms version, date and time of acceptance, and other reasonable technical information necessary to document the acceptance.
Users should be provided an opportunity to access the Terms before accepting them.
31. Governing Law
These Terms shall be governed by and interpreted in accordance with the applicable laws of the Republic of the Philippines, without limiting statutory rights or protections that cannot legally be waived.
32. Severability
If any provision of these Terms is determined by a competent authority to be invalid or unenforceable, the remaining provisions shall continue in effect to the extent permitted by law.
33. No Waiver
Failure by ZHMS or the operating Hub to immediately enforce a provision of these Terms does not automatically constitute a permanent waiver of the right to enforce that provision later.
34. Entire Agreement
These Terms, together with the ZHMS Privacy Policy and any additional policies or notices expressly applicable to a particular ZHMS service, constitute the applicable terms governing use of ZHMS.
Terms governing external services such as Zignals.net remain separate from these Terms.
35. Contact and Assistance
Questions regarding these Terms may be submitted through the official ZHMS Service Center or another authorized Zignals CDO Hub communication channel.
